  • Lead the activities required for formation and dissolution of all subsidiaries globally;
  • Responsible for managing the corporate housekeeping for the Company’s subsidiaries, including the appointment and resignation of directors and officers, and corporate registrations and filings;
  • Draft and file meeting minutes, corporate resolutions, consents, secretary’s certificates and incumbency certificates;
  • Assisting in preparation of materials for the Board of Directors and committee meetings, including drafting basic corporate governance documents such as agendas, resolutions and minutes, notices of meetings, director biographies, etc.
  • Administering third-party electronic portal to distribute meeting and other materials for the Board of Directors; developing and maintaining mastery of the system and handling uploading of materials;
  • Assisting in annual meeting preparation, including coordination of activities of Broadridge and other vendors to ensure timely distribution of Company proxy materials to shareholders;
  • Assisting with federal securities law matters, including timely preparation and review of quarterly, annual and other securities filings (10-Q, 10-K, 8-K, proxy statement, etc.); coordinating backup documentation; and supporting management's Disclosure Committee;
  • Assisting with preparation and filing of annual certifications and other reports with the NYSE; and
  • Performing other miscellaneous functions of a paralegal as assigned, including drafting, review and administration of certain contracts.

  • Minimum of 6 years experience in either a law firm or in-house legal department
  • Qualified candidates must be legally authorized to be employed in the United States. Lilly does not anticipate providing sponsorship for employment visa status (e.g., H-1B or TN status) for this employment position.
 
  • Experience working with board of directors and C-level executives;
  • Ability to build relationships with internal clients and interface with individuals at all levels;
  • Must be a self-starter, resourceful and can think creatively to solve problems; ability to take initiative and follow through;
  • Must demonstrate professional conduct, strong work ethic and good judgment;
  • Must be a team player who works well under pressure and able to independently and reliably conclude projects and assignments;
  • Knowledge of various corporate transactions, such as mergers, acquisitions, divestitures, etc. required;
  • Must demonstrate professional conduct, strong work ethic and good judgment;
  • Knowledge of standard office software required; experience using document management systems (e.g., iManage) and diagramming graphics applications (e.g., Visio) helpful, and a familiarity with certain programs used in the CSOs office including third-party electronic entity management systems, board portals and SEC electronic filing systems preferred;
  • Strong organizational skills; ability to pay close attention to details
  • Strong business acumen and mindset towards collaboration. Previous in-house experience in a global corporation preferred.
